The firm, since its organization in 1976, has helped clients acquire and sell business property, agricultural property and investment property.  The firm represents and advises clients on the structuring and restructuring of financial arrangements in connection with the client’s acquisition and disposition of personal, business, commercial and farm real estate.

The firm’s real estate practice includes the negotiation and preparation of facility license agreements, commercial lease agreements for commercial shopping centers, office buildings, as well as single purpose facilities.  Additionally, the firm assists clients in accomplishing tax-deferred tax exchanges under Section 1031 of the Internal Revenue Code.

The firm represents lenders in preparing opinion letters for commercial loan closings.  The practice of reviewing complex commercial transactions for the purpose of issuing an opinion letter is one of the firm’s most significant areas of practice.  These opinion letters include matters relating to:

  • Corporate/LLC borrower, lender, and/or guarantor legal existence
  • Corporate/LLC borrower, lender, and/or guarantor authority
  • Validity and priority of security instruments under state law
  • Validity and enforceability of loan documents including promissory notes and guaranties
  • Review of title insurance policies
